Terms of Service

Last updated: September 14, 2026

1. Agreement to Terms

These Terms of Service ("Terms") are an agreement between you (and the company you represent, "you," "your," or "Customer") and Easy P4P ("Easy P4P," "we," "us," or "our") governing your access to and use of the Easy P4P application, including any related websites, APIs, and services (collectively, the "Service"). By creating an account, clicking "I agree," or otherwise using the Service, you accept these Terms on behalf of yourself and, if applicable, your company. You represent that you are at least 18 years old, have legal capacity to enter into these Terms, and, if you use the Service for a company, have authority to bind that company. If you do not agree, or if you do not have that authority, do not use the Service.

2. What the Service Does

The Service helps service-based businesses track crew job/hours data (imported from your own CRM or field-service software, or entered manually) and calculates pay-for-performance ("P4P") compensation, payroll summaries, and related company KPIs based on formulas, rates, and settings that you — the Customer — configure. The Service is a calculation and reporting tool. It does not remit payroll, withhold or file taxes, provide legal, tax, accounting, payroll, human-resources, or employment advice, or act as your payroll processor, employer of record, tax filer, professional employer organization, accountant, attorney, or benefits administrator.

3. Your Account and Company

You must provide accurate information when creating an account and keep your login credentials confidential. You are responsible for all activity that occurs under your account and for maintaining accurate pay rates, bonus rules, overtime settings, employee data, and workspace configuration within your company's workspace. You will promptly notify us of any suspected unauthorized access to your account. Each customer's data is logically separated from every other customer's; you are responsible only for your own company's data and configuration.

4. Subscriptions, Trials, and Billing

New accounts begin with a free trial period unless we state otherwise. Continued use after the trial requires an active paid subscription on one of our published plan tiers, billed in advance on a recurring (monthly or yearly, depending on the plan you choose) basis through our payment processor (Stripe). By providing a payment method, you authorize us and our payment processor to charge all subscription fees, usage-based fees, and applicable taxes on a recurring basis until you cancel. Unless you cancel before the end of the then-current billing period, your subscription will automatically renew for successive renewal periods of the same length, and you authorize recurring charges for each renewal. You may cancel through the account settings page, by following any cancellation instructions we provide in the Service, or by contacting support if self-service cancellation is not available. Cancellation takes effect at the end of your current billing period; you will retain access until then unless your account is suspended or terminated under these Terms. Fees are non-refundable except as required by law or as we expressly state in writing: we do not provide refunds or partial refunds, including for unused time on a monthly or yearly plan after you cancel. The only exception is that when you change plans, the unused portion of your current plan is credited toward the new plan or your next invoice, as shown when you confirm the change. Free-trial days you have not used carry over if you subscribe during the trial. You are responsible for any sales, use, VAT, withholding, or similar taxes other than taxes on our net income. We may change plan features, fees, or billing terms prospectively by giving reasonable notice; price changes will apply at the start of your next renewal period unless we state otherwise. If a payment fails or your subscription lapses, we may place your account into a read-only mode — your historical data remains viewable, but you will not be able to create or edit records — until payment is resolved.

5. Customer Data and Worker Information

You retain ownership of the data you input or import into the Service, including employee names, job/timekeeping records, pay rates, compensation, productivity, performance, payroll-adjacent, and related workforce information ("Customer Data"). You represent that you have the right to submit Customer Data to the Service, including any required notices, consents, authorizations, or other lawful bases from your employees, contractors, applicants, or other personnel for its processing, and that doing so complies with applicable employment, privacy, data-protection, biometrics, monitoring, recordkeeping, and wage-and-hour laws. We process Customer Data to provide, secure, support, maintain, improve, and administer the Service; communicate with you; comply with law; enforce these Terms; and as otherwise described in our Privacy Policy.

Because Customer Data may include sensitive employee compensation, payroll-adjacent, productivity, and workforce information, you are responsible for limiting access to authorized users, assigning appropriate roles and permissions, using appropriate internal safeguards, maintaining the confidentiality of credentials, promptly disabling access for departed or unauthorized personnel, and avoiding the upload of information that is not needed for the Service. We will use commercially reasonable administrative, technical, and organizational measures designed to protect Customer Data, but no online service can guarantee absolute security. You authorize us to use subprocessors, hosting providers, analytics providers, support tools, payment processors, and other vendors that help us provide, secure, support, maintain, improve, and administer the Service, subject to appropriate confidentiality and security obligations. You are responsible for your own backups, exports, payroll records, employment records, and legally required record retention; the Service is not a system of record for payroll, tax, employment, or wage-and-hour compliance unless we expressly agree otherwise in writing.

6. Your Responsibility for Pay Structure and Compliance

You, not Easy P4P, are responsible for ensuring that your pay structure, bonus formulas, deductions, reimbursements, overtime settings, commissions, incentive plans, classifications, timekeeping practices, and wage calculations comply with all applicable federal, state, and local law — including minimum wage guarantees, overtime rules, final-pay requirements, recordkeeping obligations, wage-statement rules, meal and rest break requirements, paid sick leave and other paid-time requirements, expense-reimbursement rules, and any requirements specific to performance-based, piece-rate, commission-style, or incentive pay. The Service performs calculations based on the data, rates, formulas, policies, mappings, integrations, and settings you configure; it does not independently verify that those inputs or outputs are accurate, complete, current, or lawful for your jurisdiction, industry, workforce, collective-bargaining obligations, or individual employment arrangements. You must independently review, reconcile, and verify all imported data, payroll summaries, compensation calculations, reports, exports, and other outputs before using them to pay employees, make employment decisions, communicate compensation, create wage statements, submit payroll, book accruals, or satisfy any legal obligation. You remain solely responsible for payroll processing, tax withholding and reporting, wage statements, employee notices, recordkeeping, and all employment and payroll decisions. We strongly recommend you consult a qualified employment attorney, payroll professional, or accountant when setting up your pay rules, configuring integrations, changing pay plans, and before running real payroll based on the Service's output.

Overtime calculation scope. The Service calculates overtime on a weekly basis using the overtime threshold and multiplier you set (the defaults are 40 hours and 1.5×). Where performance pay is paid, it adds the federal half-time overtime premium based on the week's regular rate. The Service does not calculate daily overtime, double-time, seventh-day premiums, or other overtime rules that apply in some states or localities or under contracts or collective-bargaining agreements. If any of these apply to your workers, you are responsible for calculating and paying the additional amounts due outside the Service. Where federal, state, or local law is more favorable to employees, you must apply the more favorable rule.

7. Acceptable Use

You agree not to: use the Service to store or process data you do not have the right to use; upload unlawful, infringing, harmful, deceptive, discriminatory, or malicious content; attempt to access another customer's data or bypass account/tenant isolation; interfere with or disrupt the Service; introduce viruses, malware, or harmful code; scrape, crawl, or use automated means to access the Service except as we allow in writing; probe, scan, or test the vulnerability of the Service except through an authorized security program; reverse engineer, copy, modify, or create derivative works of the Service except as permitted by law; resell, sublicense, timeshare, or provide the Service to third parties without our written permission; use the Service to build a competing product; remove proprietary notices; or use the Service in a way that violates applicable law or these Terms.

8. Third-Party Integrations

The Service may allow you to import, export, or exchange data with third-party products such as CRM, field-service, payroll, accounting, analytics, payment, or other systems. Third-party services are not controlled by Easy P4P, and we are not responsible for their availability, security, changes, errors, fees, terms, privacy practices, or the accuracy or completeness of data they send to or receive from the Service. You are responsible for authorizing and maintaining integrations, reviewing data imported from or exported to third-party services, and confirming that mappings, syncs, permissions, and transfers are accurate and appropriate.

9. Service Availability and Support

We may provide documentation, onboarding help, email support, in-app support, or other support channels as we determine from time to time. The Service may be unavailable because of maintenance, updates, outages, third-party failures, security issues, or events outside our control. We do not provide any uptime commitment, service-level agreement, credits, dedicated support, implementation services, payroll review, compliance review, or guaranteed support response time unless we expressly agree to one in a separate written agreement. Support communications are for product assistance only and are not legal, tax, accounting, payroll, HR, employment, or compliance advice.

10. Ownership; Feedback

Easy P4P and its licensors own all rights, title, and interest in and to the Service, software, technology, interfaces, workflows, templates, documentation, analytics, aggregated or de-identified usage information, and all related intellectual property rights, except for Customer Data. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for your internal business purposes during your subscription. If you provide comments, ideas, suggestions, feature requests, or other feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use and exploit that feedback without restriction or compensation.

11. Confidentiality

Each party may receive non-public business, technical, financial, product, security, or other information from the other party that a reasonable person would understand to be confidential ("Confidential Information"). The receiving party will use Confidential Information only to perform or receive the Service, will protect it using reasonable care, and will not disclose it except to personnel, advisors, contractors, vendors, subprocessors, or representatives who need to know it and are bound by confidentiality obligations, or as required by law. Confidential Information does not include information that is publicly available without breach, independently developed without use of the disclosing party's Confidential Information, or rightfully received from a third party without a duty of confidentiality.

12. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, QUIET ENJOYMENT, ACCURACY, AND NON-INFRINGEMENT, TO THE MAXIMUM EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DATA WILL NOT BE LOST OR CORRUPTED, OR THAT CALCULATIONS, PAYROLL SUMMARIES, REPORTS, EXPORTS, RECOMMENDATIONS, OR OTHER OUTPUTS PRODUCED BY THE SERVICE WILL BE ACCURATE, COMPLETE, CURRENT, ERROR-FREE, OR SATISFY ANY PARTICULAR LEGAL, PAYROLL, TAX, EMPLOYMENT, RECORDKEEPING, OR WAGE-AND-HOUR REQUIREMENT APPLICABLE TO YOUR BUSINESS. SOME JURISDICTIONS DO NOT ALLOW CERTAIN WARRANTY DISCLAIMERS, SO SOME DISCLAIMERS MAY NOT APPLY TO YOU; IN THOSE JURISDICTIONS, THE DISCLAIMERS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EASY P4P AND ITS OPERATORS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR WAGES PAID OR WITHHELD IN RELIANCE ON THE SERVICE'S OUTPUT, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS BEFORE THE CLAIM AROSE. NOTHING IN THIS SECTION LIMITS LIABILITY WHERE PROHIBITED BY LAW.

Some jurisdictions do not allow certain exclusions, limitations, or caps on liability, including for fraud, willful misconduct, gross negligence, statutory rights, consumer rights, employment-related claims, data-security obligations, or other non-waivable rights. In those jurisdictions, the exclusions, limitations, and caps in this Section apply only to the maximum extent permitted by applicable law.

14. Indemnification

You will defend, indemnify, and hold harmless Easy P4P and its owners, officers, employees, contractors, vendors, and agents from and against any claims, demands, actions, investigations, liabilities, damages, losses, penalties, fines, costs, and expenses, including reasonable attorneys' fees, arising out of or related to: Customer Data; your pay plans, pay policies, configurations, formulas, mappings, rates, classifications, deductions, reimbursements, timekeeping practices, employment decisions, or payroll practices; alleged violations of wage-and-hour, employment, tax, privacy, data-protection, or labor laws by you or your personnel; employee, contractor, applicant, agency, or regulator disputes; your use of or reliance on Service outputs; your third-party integrations; your violation of these Terms; or your misuse of the Service; in each case, to the maximum extent permitted by law. You will also indemnify us for claims arising from your failure to review, verify, correct, retain, or lawfully use Service inputs or outputs. We reserve the right to control the defense of any matter subject to indemnification, in which case you will cooperate with us. If applicable law restricts any part of this indemnity, it will apply only to the maximum extent permitted by law.

15. Termination; Suspension; Changes to the Service

You may stop using the Service and cancel your subscription at any time. We may suspend or terminate accounts, restrict access, remove content, or place an account in read-only mode if we believe you have violated these Terms, do not pay applicable fees, create legal or security risk, misuse the Service, or threaten the rights, systems, data, or safety of Easy P4P, other customers, or third parties. We may modify, add, remove, suspend, or discontinue features or the Service as a whole at any time, including for maintenance, security, business, legal, or operational reasons. On termination or expiration, Customer Data export, retention, and deletion are addressed in Section 16.

16. Data Export, Retention, and Deletion

During your subscription, you may export Customer Data using available Service functionality or by contacting support where export functionality is not available. After termination or expiration, we will make Customer Data available for export for a reasonable period consistent with our then-current data retention practices, subject to legal, security, billing, backup, and operational constraints. We may delete, de-identify, aggregate, or retain copies of Customer Data as reasonably needed for backups, legal compliance, dispute resolution, security, billing, audit, product analytics, or legitimate business purposes, as described in our Privacy Policy. You are responsible for downloading and retaining payroll, tax, employment, wage-and-hour, and other legally required records before your access ends.

17. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by email or an in-app notice) before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.

18. Governing Law; Disputes

These Terms and any dispute arising out of or related to these Terms or the Service will be governed by the laws of the State of Delaware, without regard to conflict-of-laws rules, except to the extent another jurisdiction's law cannot be waived or must apply by statute. The parties will first try to resolve disputes informally by written notice and good-faith discussions for at least thirty (30) days. If a dispute is not resolved informally, either party may bring the dispute exclusively in the state or federal courts located in Delaware, and each party consents to personal jurisdiction and venue in those courts, except where applicable law requires or permits a different forum or makes exclusive venue unenforceable. Either party may seek injunctive or equitable relief in any court of competent jurisdiction to protect intellectual property, confidential information, data security, or unauthorized access to the Service. Nothing in this Section prevents a party from asserting non-waivable rights in a forum or under a law that applicable law requires to be available.
